halco Nonprofit Suite Customer Terms of Service

Effective Date: July 10, 2025

halco is a product of AltC Studios, Inc. ("AltC Studios," "we," "our," or "us"). These Terms of Service (the "Agreement") govern the Organization’s use of halco to accept, manage, and transact in Bitcoin donations.

1. Acceptance

By executing the Sales Contract or commencing use of the Service, the Organization agrees to be bound by this Agreement and authorizes AltC Studios to deduct the fees stated in the Contract.

2. Definitions

“halco” – the software, website, mobile applications, APIs, and related services provided by AltC Studios.

“Bitcoin Transaction” – any buy, sell, send, or receive of bitcoin executed through halco.

“Authorized Signatory” – an individual designated by the Organization with legal authority to bind the Organization and sign on its wallets.

“halco+ User” – an individual user account created under the Organization’s profile with permissions set by an Authorized Signatory.

“Service” – the collective functionality, tools, and support AltC Studios provides through halco.

3. Services Provided

AltC Studios will furnish:

halco in‑network profile and donation pages;

Guardian 3‑of‑5 multisig wallets for Guardian Multisig customers;

Virtual Bitcoin Fundraising Launch Event;

Support for Bitcoin Fundraising Digital Campaigns;

Optional fiat off‑ramp or conversion services .

4. Transaction Fees

AltC Studios is entitled to the percentage of the gross value of each Bitcoin Transaction specified in the Sales Contract. Fees are deducted on‑chain or invoiced monthly.

5. Data Visibility & Custody

We have read‑only visibility into wallet balances and transaction metadata. We never access or store the Organization’s secret phrases or private keys.

6. Compliance Obligations of the Organization

The Organization shall:

Maintain good standing as a registered nonprofit (e.g., IRS 501(c)(3)).

Provide accurate Physical Address, EIN, Incorporation Date & State, and designate 1–3 Authorized Signatories.

Observe U.S. sanctions, AML, FATF guidelines, and applicable state charitable‑solicitation laws.

Conduct donor due‑diligence where required.

7. Authorized Signatories & halco+ Users

At least one Authorized Signatory with authority to bind the Organization must maintain the account. The Organization is responsible for actions of all halco+ Users it invites.

8. Security Responsibilities

Unless separately contracted, Guardian wallets require three of five keys,. Unless separately contracted, AltC Studios controls two of the five keys in case of emergency. The Organization bears full responsibility for safeguarding its own keys and recovery phrases.

9. Representations & Warranties

The Organization represents that (i) it is lawfully organized; (ii) it may accept Bitcoin under its governing documents and applicable law; and (iii) all information provided is truthful and complete.

10. Disclaimers

The Service is provided "as‑is." Bitcoin price volatility may affect donation value. AltC Studios does not provide investment, tax, or legal advice.

11. Limitation of Liability

AltC Studios’ aggregate liability arising out of this Agreement shall not exceed the total monthly subscription fees paid in the preceding twelve (12) months. We are not liable for indirect or consequential damages.

12. Indemnification

The Organization will defend and indemnify AltC Studios against any third‑party claim related to (a) breach of this Agreement, (b) violation of law, or (c) misuse of the Service.

13. Term & Termination

The initial term is twelve (12) months from execution, auto‑renewing annually unless either party gives 30 days’ written notice. AltC Studios may suspend or terminate the Service for non‑payment, legal risk, or violation of this Agreement.

14. Intellectual Property & Marks

AltC Studios retains all right, title, and interest in halco and its marks. AltC Studios grants The Organization a limited, non-exclusive, non-transferable license to use the halco name, branding, and logo in pursuit of donors, including but not limited to: fundraising campaigns, fundraising events, social media marketing, email marketing, and digital advertising. The Organization may use halco marks only in accordance with our Brand Guidelines.

15. Governing Law & Dispute Resolution

This Agreement is governed by Delaware law. Disputes shall be settled by binding arbitration in Wilmington, Delaware (AAA Commercial Rules), unless state law mandates a different forum.

16. Amendments

We may modify this Agreement with 30 days’ notice. Continued use after the effective date constitutes acceptance.
