halco+ User Terms of Service

Effective Date: July 10, 2025

halco is a product of Alt.C Studios, Inc. ("Alt.C Studios," "we," "our," or "us"). These Terms of Service (the "Terms") govern your access to and use of the halco platform as a halco+ User.

1. Acceptance of Terms

By selecting “I Agree” or otherwise accessing halco, you confirm that you (a) are at least 18 years old, (b) have legal authority to create and manage a profile on behalf of the nonprofit organization you represent (the "Organization"), and (c) accept these Terms on the Organization’s behalf. If you do not agree, do not use the Service.

2. Definitions

"halco" – The website, mobile apps, APIs, dashboards, and related services provided by Alt.C Studios.

"halco+ User" – An individual registering under an Organization’s account with administrative or operational permissions.

"Bitcoin Transaction" – Any buy, sell, send, or receive action executed through halco.

3. Eligibility & Authority to Act

You warrant that you are duly authorized by the Organization to (i) create a halco profile, (ii) manage fundraising content, and (iii) bind the Organization to these Terms. Your authorization may not include direct access to Organization funds held in halco nonprofit suite wallets.

4. Account Registration & Security

We collect your First Name, Last Name, email address, and phone number. You must keep credentials confidential and notify us immediately of any unauthorized use. We may require multi-factor authentication.

5. Permitted Uses

You will use halco solely for lawful charitable purposes. You may not:

Violate any applicable law or regulation —including OFAC, AML, or charitable-solicitation laws;

Infringe the intellectual-property rights of others;

Attempt to discover or obtain private keys or secret recovery phrases belonging to any wallet not under your control.

6. Fees

Transaction fees are assessed to the Organization pursuant to its separate Master Services Agreement (“MSA”). Your activity may generate fees for which the Organization is liable.

7. Data Security

halco uses encryption in transit and at rest, role-based access controls, and multisig architecture. Alt.C Studios never stores or sees any secret recovery phrases.

8. Intellectual Property

halco, Alt.C Studios, and related marks are Alt.C Studios’ property. We grant you a limited, non-exclusive, non-transferable license to use the Service during the term of these Terms. We grant you a limited, non-exclusive, non-transferable license to use the halco name, branding, and logo in pursuit of donors, including but not limited to: fundraising campaigns, fundraising events, social media marketing, email marketing, and digital advertising.

9. Disclaimers

halco is provided “as is.” Bitcoin values are volatile. Alt.C Studios does not provide investment, tax, or legal advice.

10. Limitation of Liability

To the maximum extent permitted by law, Alt.C Studios is not liable for indirect, incidental, special, or consequential damages. 

11. Indemnification

You will indemnify and hold harmless Alt.C Studios from any claim arising out of your breach of these Terms or violation of law.

12. Termination

We may suspend or terminate your profile at any time for breach or legal risk. The Organization may revoke your access at its discretion.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute shall be resolved by binding arbitration in Wilmington, Delaware, under the AAA Commercial Arbitration Rules.

14. Changes to Terms

We may modify these Terms at any time. We will provide reasonable notice, and continued use constitutes acceptance.
